Selling an iGaming Business Confidentially: NDAs, Blind Teasers and Escrow

Word that an online casino or affiliate site is for sale can cause real damage. Competitors may target its players or keywords, staff may start looking for other jobs, and operators or payment providers may become cautious. Confidentiality is therefore a core part of an iGaming sale, not an afterthought.

CasinosBroker.com uses a three-layer approach on its mandates.

Layer 1: The blind teaser

A blind teaser is a short summary that lets buyers decide whether an opportunity fits their criteria without learning what it is. It typically includes:

  • Asset type and market, such as "Casino affiliate portfolio, Nordic markets"
  • Headline metrics: revenue, profit, traffic, trend
  • Licence category or jurisdiction
  • Why the asset is attractive
  • A generic reason for sale
  • Asking price, or "offers invited"

It does not include the brand name, domain, screenshots, distinctive figures or anything else that would let a buyer identify the business. Even a combination of exact metrics and a niche market can reveal a seller, so details are rounded or generalised where needed.

Layer 2: The NDA

Buyers who want more information sign a non-disclosure agreement before they receive the confidential information memorandum. A sound NDA:

  • Defines confidential information broadly, including financial data, player and traffic data and the fact that the business is for sale
  • Limits use of the information to evaluating the transaction
  • Restricts disclosure to people who need to know and are bound by similar terms
  • Requires return or destruction of information if the buyer does not proceed
  • Continues to apply for a defined period after discussions end

CasinosBroker does not disclose a seller's confidential information to a prospective buyer who has not signed an NDA.

Layer 3: Controlled data room access

Even after an NDA, information is released in stages. Read-only access to dashboards, analytics and back-office reports is usually given once a buyer has shown serious intent, and the most sensitive items, such as player-level data, only late in due diligence and in line with data protection requirements.

Escrow at completion

When the deal closes, the buyer pays into escrow rather than directly to the seller. Funds are released as agreed handover steps are completed – domains moved, accounts transferred, data delivered. This protects the buyer from paying for assets it does not receive and the seller from handing over assets without being paid. CasinosBroker coordinates escrow on its transactions.

What sellers should do

  • Tell as few people as possible inside the business until a deal is close.
  • Route all buyer contact through the broker.
  • Do not list the business publicly under its own name.
  • Prepare documents in advance so information can be shared quickly once an NDA is in place.

CasinosBroker has closed 52 iGaming transactions since 2021. Sellers can contact [email protected] in confidence.
